COMPANY FORMATION

We always have Hong Kong companies in stock which we call Readymade companies. You simply pick up any company of your choice from the list and we will complete the other legal formalities for you. The documents will be finished within one day and you can open a bank account straightaway.

If, however, the names of those companies do not suit your requirements a new company can be incorporated within 15 days. This is what we call Tailormade companies. The price of our incorporation services cover :-

COMPANY SECRETARY

We undertake to act as Company Secretary throughout the year, which includes maintaining the statutory books and can prepare all relevant minutes for directors and shareholders meetings, change in address of registered office, shareholder and director, preparation and filing of the annual return with the Companies Registrar.

REGISTERED OFFICE

We provide a registered office facility at our address and will collect any mail as arranged.

CORPORATE DIRECTOR

We can provide nominee director for clients who do not wish to be found on public record, or company that requires a second director to comply with their Articles of Association.

NOMINEE SHAREHOLDER

A limited company must have at least two shareholders. One of our corporate bodies can act as a nominee on behalf of the beneficial owner. A suitable Declaration of Trust is prepared by ourselves.

DISSOLUTION OF A LIMITED COMPANY

A company incorporated under the Companies Ordinance can be dissolved by any of the following means :-
 

(I)Strike-off

(II)Liquidation (either voluntary or by creditors)

 

(I) Strike-off

This is a summary procedure to dissolve the company. However, certain conditions must be meet to qualify for dissolution of a company by strike-off :-

  • the company has ceased trading and remained dormant;

  • the company has no assets

  • the company has no third-party liabilities including tax liability due to Inland Revenue Department (except consent has been obtained from the creditors that they have agreed to waive any claims against the company for repayment)

Once an application has been lodged and a confirmation letter received from the Companies Registrar, you do not have to pay any further Business Registration fees

Advantages :-
 

(i)simple

(ii)reasonable cost


Disadvantages :-
 

(i)time-consuming as the Companies Registrar will not strike-off immediately upon receipt of the application;

(ii)annual returns have to be filed until the name of the company has been deregistered in the Hong Kong Government's gazette

 

(II) Liquidation or winding-up

Members' voluntary liquidation

If the Company has substantial assets, it cannot be dissolved by strike-off. Provided that the Company is solvent, i.e. it is able to pay off all its creditors, then the shareholders can dissolve the company by means of winding-up A liquidator (normally a certified public accountant) has to be appointed to take over the assets of the company and to repay the debts of the company. Any surplus after the distribution will be returned to the shareholders.

However, the cost involved in winding-up is more expensive than strike-off. The cost ranges between HK$25,000 and HK$30,000 depending on the complexity of the case.


Creditors' winding-up

Any creditor can petition to the court to obtain an order to wind up a company if the company is unable to repay his or her debts over HK$5,000.

This is the most difficult case of all liquidation procedures as we may experience deadlock in reaching a compromise with the creditors on how much to be repaid to them.

Normally, shareholders play no role in a creditors' winding-up case and the directors of the company will be deprived of any power to exercise their normal duties. All duties and functioning of the management will be vested in the special manager or liquidator appointed eihter by the court or the creditors.

  • whether you have made a profit for this month and a loss for last month; and

You simply get answers to those questions provided you have been maintaining proper accounting records. Accounting records are very useful information for your day-to-day decision making.

If you have difficulties in getting a full-time and reliable accountant, we can provide those accounting services on a regular basis. This can either be weekly, monthly, quarterly or simply annually and is up to your particular requirements. Provided you keep all your bank statements, sales invoices, purchase invoices and payments vouchers complete, we can prepare the accounts for you from sketch including setting up an accounting system (covering general ledger, accounts receivable, accounts payable subledger as well as inventory control if required). We will prepare the trial balance, profit and loss account and balance sheet at any time as you required in order to enable you to assess your company’s performance and to determine future strategy for your business.
